1. The agreement
These Terms of Service (“Terms”) are a contract between you (or the business you represent) and Kountr (“we,” “us”). They govern your use of kountrfi.ca and the Kountr application (together, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy.
If you’re agreeing on behalf of a business, you represent that you have authority to bind that business, and “you” means that business.
2. Eligibility & accounts
- You must be at least 18 years old and able to enter contracts where you live.
- You’re responsible for the accuracy of the information you provide and for what happens under your account.
- Keep your credentials safe and enable MFA. Notify us immediately at info@kountrfi.ca if you suspect unauthorized access.
- One person per login. Teams can invite teammates and bookkeepers/CPAs at the role you assign.
3. The Service
Kountr is software-as-a-service for bookkeeping and accounting. Kountr is not a chartered professional accountant, tax preparer, financial advisor, lawyer, or auditor. Output from the Service (including reports, tax estimates, and AI suggestions) is provided for your information and convenience; you’re responsible for reviewing it and for any filings or decisions you make.
We may add, change, or remove features. If we materially reduce a feature on your paid plan, we’ll give you reasonable notice and, where appropriate, a pro-rated refund.
4. Bank connections (Plaid)
When you link a financial institution, you authorize Kountr — through Plaid Inc. — to retrieve account, balance, and transaction data on your behalf. You confirm that you’re an authorized user of those accounts. By connecting an account you also agree to Plaid’s End User Agreement and Privacy Policy. You can revoke access in Settings → Connections or directly at my.plaid.com.
Kountr does not receive or store your online-banking username or password. We rely on Plaid for connectivity; outages or errors at your bank or at Plaid may affect data freshness.
5. AI features
The Service uses artificial intelligence to assist with categorization, OCR, drafting, and answering questions you ask the in-app assistant. AI output is generated and may be inaccurate, incomplete, or out of date. You agree to review AI output before relying on it for tax filings, payments, or accounting decisions, and to keep your own books in good order.
Your inputs and the AI output (collectively, “AI Content”) are part of your Content under section 6. You own them. We do not use AI Content to train general-purpose AI models. See the AI Disclosure and Privacy Policy §5 for the full rules, including our sub-processor terms and your opt-out.
6. Your data & content
Anything you submit to or store in the Service — receipts, transactions, files, journal entries, vendor lists, AI prompts, etc. — is your “Content.” You retain all rights to your Content. You grant Kountr a worldwide, non-exclusive licence to host, copy, transmit, display, and process your Content solely to provide and improve the Service, in accordance with the Privacy Policy.
You can export your Content at any time (CSV, OFX, JSON, PDF). On deletion or cancellation, we delete or de-identify your Content as described in the Privacy Policy, subject to legally required retention (e.g. CRA record-keeping).
7. Acceptable use
You agree not to:
- Use the Service for anything illegal, fraudulent, or in violation of someone else’s rights.
- Upload malware or attempt to interfere with, probe, or reverse-engineer the Service (security research under a published policy is welcome — contact info@kountrfi.ca).
- Try to bypass usage limits, rate limits, or access controls.
- Scrape, mirror, or resell the Service without our written permission.
- Use the AI features to generate content that is unlawful, harassing, infringing, or designed to deceive a regulator, tax authority, customer, or counterparty.
- Connect bank accounts you’re not authorized to access.
8. Fees, billing, trials
- Plans, prices, and feature limits are shown on our pricing page or your order form.
- Fees are in Canadian dollars unless stated otherwise, and exclude applicable taxes (which we’ll add and remit).
- Subscriptions renew automatically for the same term unless cancelled before the renewal date.
- Free trials end on the date shown; after that, the plan you selected begins billing.
- Refunds: we offer a pro-rated refund only where required by law or where we materially fail to deliver the Service.
- Late or failed payment may cause your account to be downgraded or suspended after notice.
9. Suspension & termination
You can cancel any time from Settings → Billing. We may suspend or terminate access if you breach these Terms, if your account is delinquent after notice, if continued access poses a security or legal risk, or if required by law. We’ll give you a reasonable chance to export your Content before deletion, unless prohibited.
10. Disclaimers
Except where prohibited by law, the Service is provided “as is” and “as available.” Kountr disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy of AI output, and uninterrupted or error-free operation. Kountr does not provide accounting, tax, or legal advice.
11. Limitation of liability
To the maximum extent permitted by law: (a) Kountr will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or goodwill; and (b) Kountr’s total aggregate liability for any claim arising out of or related to the Service is limited to the greater of (i) CAD $100 and (ii) the fees you paid Kountr for the Service in the 12 months immediately before the event giving rise to the claim. Some jurisdictions don’t allow these limits; if so, they apply to the extent permitted.
12. Indemnity
You will defend, indemnify, and hold Kountr harmless from third-party claims arising out of: your Content, your use of the Service in violation of these Terms or applicable law, or your tax/accounting decisions.
13. Governing law & disputes
These Terms are governed by the laws of Ontario, Canada and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in Toronto, Ontario have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court. Nothing in this section limits any consumer rights that cannot be waived under your local law.
14. General
- Entire agreement. These Terms, the Privacy Policy, and any order form are the entire agreement between us.
- Changes. We may update these Terms; if changes are material, we’ll notify you in-app or by email at least 14 days before they take effect. Continued use after that means you accept the new Terms.
- Assignment. You can’t assign these Terms without our consent. We may assign them to an affiliate or in a corporate transaction.
- Severability. If a clause is unenforceable, the rest stays in effect.
- No waiver. If we don’t enforce a right, we haven’t waived it.
- Notices. We may notify you in-app or at your account email; you can reach us at info@kountrfi.ca.
